Western Forest Products (WEF) directors re-elected; share consolidation

Western Forest Products Inc. reported that shareholders at its Annual and Special Meeting held on May 7, 2025 in Vancouver re-elected the company’s slate of directors and approved a special resolution to authorize a share consolidation. The company said voting results and related actions were communicated to shareholders following the meeting.

According to the disclosed vote tallies, nominees including Laura A. Cillis, Steven Hofer, Randy Krotowski, Fiona Macfarlane, Noordin Nanji, Daniel Nocente and Peter Wijnbergen were re-elected, receiving “for” votes ranging roughly from 65.81% to 82.86%. Hissedar approval was also recorded for a resolution allowing the board to effect a consolidation at a ratio to be determined between one post-consolidation share for every 25 to 40 pre-consolidation shares; the consolidation resolution passed with 94.97% of votes cast. The company filed a report of voting results on SEDAR+.

A shareholder-approved share consolidation typically reduces the number of outstanding shares and can raise the per-share trading price, which may affect perceived valuation metrics and liquidity. Western’s board retains discretion to set the exact consolidation ratio and timing within the approved range and will monitor prevailing market conditions before implementation; final execution is subject to approval by the Toronto Stock Exchange (TSX) and other regulatory requirements.
