SpaceX announced it has struck a partnership with AI coding startup Cursor that includes an option to acquire the company for $60 billion later this year, or to pay $10 billion as compensation for their joint work if it does not exercise the purchase option. The move was framed as part of SpaceX’s broader push into large-scale AI capabilities.

According to SpaceX’s post, the alliance pairs Cursor’s product and distribution to expert software engineers with SpaceX’s Colossus training supercomputer, which the company says has the equivalent compute power of a million Nvidia H100 GPUs. Colossus is associated with xAI’s large-scale training cluster in Memphis and reflects SpaceX’s significant recent investment in AI infrastructure.

Cursor is recognised in the developer community for its code-generation models and tooling. Reuters reporting noted that some senior engineers from Cursor had already joined SpaceX to work on lunar projects and xAI, and SpaceX highlighted that combining Cursor’s product reach with Colossus would accelerate model development. The announcement therefore links talent moves and infrastructure gains to a potential strategic acquisition.

Market observers say the deal has implications for SpaceX’s planned public listing and capital plans. Published reports tied the announcement to SpaceX’s high-profile IPO discussions and sizeable fundraising targets, underscoring how large AI investments and potential acquisitions may factor into pre-IPO positioning and valuation narratives. The scale of the option — $60 billion — or the $10 billion fallback payment represents a material commitment either way.

Analysts caution that while the agreement could give SpaceX/xAI a rapid entry into the AI coding market and help close gaps with competitors, it also raises financing, regulatory and integration risks. Whether SpaceX ultimately exercises the option, negotiates alternative terms or settles for the partnership payment will shape near-term capital strategy and the competitive landscape among developer-focused AI providers.
