Chipmaker Qualcomm Incorporated (NASDAQ: QCOM) has announced an agreement to acquire AI software infrastructure company Modular Inc. This all-stock deal, valued at approximately $3.9 billion, aims to strengthen Qualcomm Technologies' software foundation for generative and agentic artificial intelligence (AI) across data center and edge environments. The acquisition is seen as a critical step for Qualcomm to solidify its position as a connected computing leader at the heart of the AI era.
Under the terms of the agreement, Modular's equity holders will receive up to 19.2 million newly issued Qualcomm common shares. The transaction is expected to close in the second half of 2026, subject to customary closing conditions and applicable regulatory approvals. Modular is known as an AI software infrastructure company building a unified compute platform that makes AI development and deployment more open, efficient, and accessible. Its software tools allow developers to write code once and run it across diverse hardware and environments, including CPU, GPU, NPU, and custom ASIC architectures, without needing to rewrite for each accelerator.
Qualcomm President and CEO Cristiano Amon stated that this acquisition marks a pivotal moment not just for Qualcomm, but for the AI industry. Amon emphasized that as agentic AI scales across data centers and edge environments, the industry is moving toward disaggregated, multi-vendor architectures that demand a more open and modern software foundation. This acquisition is part of Qualcomm's broader strategy to diversify its business beyond smartphone chips and expand its footprint in the data center and AI infrastructure market.
This move positions Qualcomm in direct competition with Nvidia's (NVDA) CUDA platform, which has long dominated the space. Modular has positioned itself as a vendor-neutral software layer that supports chips from Nvidia, AMD (AMD), and other vendors. With the surging demand for AI, efficiency is paramount in running AI workloads in data centers to reduce energy costs. Qualcomm aims to leverage its decades of experience in designing power-efficient chips for smartphones in this evolving sector.
Analysts and market expectations suggest that this acquisition will accelerate Qualcomm's goal of becoming a full-stack provider in AI hardware and software. The background of Modular's co-founders, Chris Lattner and Tim Davis, who previously worked at Google, highlights the company's expertise in AI infrastructure. Beyond this deal, Qualcomm is also reportedly in advanced talks to acquire AI chip startup Tenstorrent for a valuation between $8 billion and $10 billion. These strategic acquisitions reflect Qualcomm's efforts to diversify its business model against risks such as key customer Apple (AAPL) transitioning to in-house modem solutions.
