European advanced nuclear developer Newcleo has agreed a definitive business combination with NewHold Investment Corp III (Nasdaq: NHIC) that will take the company public on Nasdaq under the ticker NWCL. The transaction implies a pre-money equity value of roughly $2.4 billion and is expected to close in the second half of 2026, subject to customary conditions.
According to the parties, the deal structure combines NewHold’s trust cash and PIPE financing, potentially delivering up to $429 million in gross proceeds to the combined company, though redemptions by NewHold’s public shareholders could reduce that amount. The investor presentation outlines pro forma capitalization, sponsor economics and planned ownership stakes following closing. A joint investor call was scheduled to present transaction details to market participants.
Newcleo develops lead-cooled fast reactors (LFRs) and mixed-oxide (MOX) fuel made from reprocessed material, and said it will partner with Oklo Inc. on a U.S. Department of Energy program to explore utilization of surplus plutonium as reactor fuel. The company positions its vertically integrated model—including fuel capabilities—as a route to supply low-carbon baseload power to energy-intensive applications such as data centers and artificial intelligence infrastructure.
Market reaction to the listing plan reflects broader investor interest in clean and advanced energy technologies amid growing demand for reliable, low-carbon power.
