Miata Metals Corp. (TSXV: MMET, FSE: 8NQ, OTCQX: MMETF) has announced that its final short form prospectus, related to its previously disclosed aggregate C$23.2 million public offering and strategic investment, is now accessible on the SEDAR+ system. This development marks a significant step for the Canadian mineral exploration company, strengthening its financial position and supporting its ongoing aggressive exploration programs at its key gold projects in Suriname.

The financing comprises two main components. Firstly, the company amended its agreement with a syndicate of underwriters, led by ATB Cormark Capital Markets and SCP Resource Finance LP, to increase the size of its bought deal public offering from approximately C$7.5 million to C$10 million. Under this offering, the underwriters have agreed to purchase 24,391,000 common shares at a price of C$0.41 per share. Additionally, an over-allotment option for an additional 15% of the offered shares has been granted to the underwriters, exercisable within 30 days following the closing of the offering, for market stabilization purposes and to cover over-allotments.

Secondly, Miata Metals also upsized its strategic investment agreement with La Mancha, a subsidiary of La Mancha Resource Fund SCSp. La Mancha will acquire 32,390,229 common shares at C$0.41 per share, providing gross proceeds of approximately C$13,279,994. This strategic investment is structured to maintain La Mancha's pro forma non-diluted ownership at approximately 19.9% in the company. The combined gross proceeds from these two financing transactions are expected to total C$23,280,304 for Miata Metals.

The net proceeds from this financing are primarily earmarked to fund exploration and drilling activities at the company's flagship Sela Creek Gold Project in Suriname. Furthermore, the funds will support technical studies, project development activities, and general corporate and working capital purposes. The company is currently executing an ambitious 25,000-meter diamond drilling program for 2026, and these funds are crucial for advancing significant gold discoveries at targets such as Jons Trend, Big Berg, and Puma within Sela Creek.

Miata Metals is a Canadian mineral exploration company specializing in the acquisition, exploration, and development of mineral properties within the Guiana Greenstone Belt, with a particular focus on its Sela Creek and Nassau Gold projects in Suriname. The company holds a 70% interest in the Sela Creek project, with an option to acquire a full 100% interest. Recent drilling results have highlighted the project's potential, with high-grade intersections including 30 meters at 4.06 g/t gold at Jons Trend and 63 meters at 1.44 g/t gold at Big Berg.
