Metaplanet Establishes US Bitcoin Treasury Firm with $135 Million Deal
Japanese Bitcoin treasury company Metaplanet is acquiring Nasdaq-listed Super League Enterprise with 2,100 Bitcoin and $2.5 million in cash to launch a U.S. Bitcoin treasury firm. This $134.6 million deal will rebrand the company as Superplanet, providing Metaplanet access to U.S. capital markets.

Japan-based Bitcoin treasury company Metaplanet (TSE: 3350.T) has signed a definitive agreement to acquire Nasdaq-listed Super League Enterprise Inc. (NASDAQ: SLE) to bolster its presence in the United States. This strategic move, valued at approximately $134.6 million, involves Metaplanet injecting 2,100 Bitcoin and $2.5 million in cash. Upon completion, Super League Enterprise will be rebranded as Superplanet Inc. and will operate as Metaplanet's dedicated U.S. Bitcoin treasury platform.
The terms of the deal specify that Metaplanet, through its U.S. subsidiary, will acquire approximately 95.7% of Super League Enterprise. In exchange for its investment, Metaplanet will receive 44,859,400 newly issued common shares (valued at $3 per share), along with preferred stock and warrants. The Bitcoin contribution was valued at approximately $132.1 million, based on Bitcoin's closing price on Coinbase as of August 14, 2026. The transaction is expected to close in the fourth quarter of 2026, and Superplanet will trade under the ticker SUPA on Nasdaq.
This development led to a significant surge in Super League Enterprise's shares. Following the announcement, the company's stock jumped by 50% to over 100% in intraday trading, rising from around $3 to the $6-$7 range. Metaplanet CEO Simon Gerovich is set to serve as the Chairman of Superplanet's board, with Metaplanet controlling five of the nine board seats. Additionally, Metaplanet will have the right to invest an additional $210 million through junior preferred stock over the next 24 months, indicating potential for further expansion in the U.S. market.
This strategic initiative is seen as part of Metaplanet's broader effort to expand its Bitcoin-focused corporate treasury strategy globally. The company aims to raise yen-denominated capital in Japan while attracting U.S. dollar-denominated capital through Superplanet in the United States. This dual-listed structure is expected to create new funding avenues for Metaplanet to increase its overall Bitcoin holdings. The company has adopted a strategy of minimizing common share dilution by utilizing instruments like preferred stock to grow its Bitcoin reserves.
Market analysts interpret Metaplanet's move as solidifying its position as Japan's most aggressive adopter of the corporate Bitcoin treasury model, pioneered by MicroStrategy (now known as Strategy). Once Superplanet is operational, it will offer U.S. institutional investors equity exposure to a Bitcoin treasury company listed on Nasdaq. This structure will enable Metaplanet to leverage the deep U.S. capital markets to enhance its consolidated Bitcoin holdings.
Moving forward, Superplanet's capital raising strategy in the U.S. markets and how it will deploy the funds for further Bitcoin acquisitions will be closely watched.
