Kraken’s management signalled that a U.S. initial public offering remains a live option after the company’s co‑CEO Arjun Sethi confirmed the firm had “confidentially filed” a Form S‑1 with the U.S. Securities and Exchange Commission in November. Sethi made the remark during remarks at the Semafor World Economy 2026 event when asked about plans to take Kraken public.

The disclosure coincided with Deutsche Börse Group’s announcement that it will invest $200 million in Payward Inc., Kraken’s parent, through a secondary share purchase that yields a roughly 1.5% fully diluted stake; the exchange operator expects closing in Q2 subject to regulatory approvals. Based on the terms of the transaction, Kraken’s valuation is implied at about $13.3 billion, down from an approximately $20 billion valuation associated with an $800 million funding round in November.

Reports in March said Kraken had paused or deferred IPO timing amid softer crypto markets and lower digital‑asset prices, but the recent Deutsche Börse transaction and a recovering Bitcoin price backdrop have reopened discussion about a listing. The confidential filing status means there is no public timetable; SEC review and prevailing market conditions will determine next steps.

For market participants, Deutsche Börse’s stake sends a pro‑institutional message: the partnership aims to bridge traditional market infrastructure and digital assets across trading, custody and tokenized products. That alignment could support a smoother public‑market transition if regulatory scrutiny remains manageable, yet it does not remove execution and compliance risk associated with a public listing for a major crypto platform.

Analysts say the near‑term outlook hinges on macro risk appetite and crypto price momentum; a sustained rally in major tokens and clear regulatory guardrails would improve IPO odds, while renewed volatility or adverse policy actions could push timelines back. Investors will watch subsequent SEC filings, closing of the Deutsche Börse transaction and any disclosure of financials as the clearest signals of an imminent market debut.
