ExxonMobil has announced plans to move its legal domicile from New Jersey to Texas, marking another high‑profile corporate shift toward the state. The company’s board of directors unanimously recommended that shareholders approve the change, which would formally re‑incorporate the energy giant in Texas.
Shareholders are expected to vote on the proposal at the company’s annual meeting scheduled for May 27, 2026. ExxonMobil already operates its global headquarters in Spring, Texas, near Houston, and the move would align the company’s legal base with its operational center.
According to the company, the decision reflects Texas’ evolving legal and regulatory environment, including modernized corporate statutes and the creation of the Texas Business Court designed to handle complex commercial disputes more efficiently. ExxonMobil said the relocation would not affect its operations, assets, strategy, or workforce and emphasized that shareholder rights would remain protected.
The move also highlights a broader trend of corporations reconsidering traditional incorporation hubs such as Delaware and New Jersey. In recent years, companies including Tesla, SpaceX, and Coinbase have chosen Texas as their legal home, attracted by the state’s business‑friendly policies and legal reforms aimed at reducing corporate litigation risks.
