French food giant Danone has received clearance from the UK's Competition and Markets Authority (CMA) for its planned acquisition of British plant-based nutrition brand Huel for approximately €1 billion ($1.2 billion or about £860 million). The CMA decided not to refer the merger for a more in-depth Phase 2 investigation, concluding that the transaction is not expected to significantly reduce competition within the UK market. This decision supports Danone's objective to solidify its position in the rapidly expanding functional nutrition sector.

Danone announced its agreement to acquire Huel in March 2026. This strategic move is considered part of the company's "Renew Danone" strategy, aiming to expand its portfolio in plant-based products and the health and wellness segments. Huel, founded in 2015 by Julian Hearn, is a prominent brand offering nutritionally complete, plant-based meal replacement products such as powders, ready-to-drink shakes, and snack bars, boasting a strong presence in both direct-to-consumer sales and retail channels.

The CMA launched its initial merger inquiry in July, gathering feedback from interested parties to assess the potential impact of the deal on competition in the UK market. Despite having until September 11 to make a decision, the authority concluded, based on currently available information, that the deal did not warrant a more detailed investigation. This swift clearance removes a significant regulatory hurdle, and the acquisition is now expected to be completed in September 2026.

This development reflects the growing global demand for functional nutrition and plant-based products in the food and beverage market. Factors such as increasing consumer health consciousness, rising interest in personalized nutrition, and the widespread adoption of GLP-1 weight-loss drugs are driving the growth of this segment. Danone aims to adapt to the changing market dynamics through such strategic acquisitions, alongside its established brands like Activia yogurts and Evian water.

Huel's CEO, James McMaster, is expected to remain in his role, with Huel operating as an autonomous business unit reporting to Danone's European division. This merger will provide Huel with access to Danone's global distribution network, infrastructure, and R&D capabilities, potentially accelerating its international expansion. Besides founder Julian Hearn, celebrity investors including actor Idris Elba are known to be among Huel's backers and are expected to receive significant payouts from this transaction.

Analysts note that this acquisition is critical for Danone's long-term growth strategy, with the functional nutrition market expected to maintain its robust trajectory in the coming period. While Danone's shares (DANO) typically trade in line with the CAC 40 index on the Paris stock exchange, such strategic moves are anticipated to contribute positively to the company's market value over the long term.
