The U.S. Securities and Exchange Commission (SEC) has officially published its long-anticipated “Regulation Crypto Assets” proposal in the Federal Register, marking a pivotal moment for the crypto asset markets. This development, which commenced on August 21, 2026, opens a 60-day public comment period, allowing stakeholders to submit their feedback until October 20, 2026. The proposal outlines a compliance framework designed to define when a crypto token no longer constitutes an investment contract under the Howey test.

The SEC's new regulatory framework seeks to establish a tailored structure for the offers and sales of “covered investment contracts” involving crypto assets. Key elements of the proposal include two exemptions from registration requirements for issuers: a one-time startup exemption for offerings up to $5 million and a 12-month fundraising exemption for offerings up to $75 million. Furthermore, a conditional safe harbor under Rule 400 is introduced for certain digital asset investment contracts. This safe harbor aims to provide a pathway for a crypto asset to exit its “security” status once the issuer certifies that managerial efforts have been completed or permanently ceased.

This proposal builds upon the SEC's interpretative guidance issued in March 2026, which clarified how federal securities laws apply to certain crypto assets and transactions. SEC Chairman Paul S. Atkins stated that this regulatory framework aims to provide crypto asset entrepreneurs and market participants with clear pathways to raise capital under federal securities laws and to foster innovation domestically. These steps are expected to address long-standing barriers to responsible capital formation and innovation within the domestic crypto asset markets.

This development holds significant potential for reducing the persistent regulatory uncertainty plaguing crypto markets. While not yet legally binding, the proposal is set to shape future trading and listing decisions in U.S. markets, with potential implications for global liquidity.
