Brookfield Capital Partners, the private equity arm of global infrastructure asset management giant Brookfield Asset Management, has made a significant takeover bid for Australian plumbing and water flow control products manufacturer Reliance Worldwide Corporation (RWC). The firm aims to acquire RWC for A$4.75 per share in cash, valuing the company at approximately A$4.1 billion (around US$2.9 billion). RWC's management announced it has granted Brookfield a four-week exclusive due diligence period to assess this non-binding proposal.

This offer marks Brookfield's fourth bid for RWC and has been deemed worthy of consideration by RWC's board. The proposed A$4.75 per share represents a substantial 31.6% premium over RWC's last closing share price of A$3.61. Furthermore, the offer provides a premium of over 40% compared to the six-month volume-weighted average price. Should the deal materialize, any final agreement is expected to include a 30-day "go-shop" period, allowing RWC to solicit rival offers.

In the markets, this takeover bid has had a positive impact on RWC shares. Prior to the offer, the company's share price had fallen approximately 40% from its 2024 peak. This decline was attributed to U.S. tariff policies and a downturn in the housing sector, driven by global central banks raising interest rates to curb inflation. Brookfield's offer signals a significant valuation for the company despite these challenging market conditions.

From a broader economic perspective, this acquisition attempt highlights how companies with depressed valuations due to high global interest rates and inflationary pressures are becoming attractive targets for private equity funds. Companies dependent on the housing and construction sectors, while facing macroeconomic headwinds, are being targeted by large investors like Brookfield who see long-term growth potential in such assets. RWC's global operations and exposure to construction and renovation markets make it a strategic fit for such an investment.

The board has cautioned that there is no certainty the proposal will become a binding transaction and has advised shareholders to take no action for now. Analysts had previously issued a "buy" recommendation for RWC shares with a price target of A$4.25. Brookfield's current offer surpasses this target price and opens up the possibility of other potential bidders emerging. The upcoming four-week due diligence period and any subsequent "go-shop" period will be crucial for the future of the deal.
