Brazil's Securities and Exchange Commission (CVM) has taken a significant step towards developing an experimental regulatory framework for the tokenization of securities. The institution officially established the Securities Tokenization Working Group (GTT) through Ordinance No. 177 on July 17, 2026. The primary objective of this task force is to submit a proposal to the CVM board within 60 days of its establishment. This initiative aims to evaluate the potential of Distributed Ledger Technology (DLT) in securities markets and address existing regulatory gaps in this evolving area.

The GTT's work will encompass fundamental aspects such as the registration, custody, trading, and settlement of securities. The working group brings together representatives from 14 different departments within the CVM and may consult with other government agencies, market associations, self-regulatory bodies, and external specialists as needed. This comprehensive approach includes reviewing cybersecurity risks, international regulatory models, and the outcomes from previous regulatory "sandbox" programs. CVM Chairman Otto Lobo emphasized that tokenization represents a "structural transformation of the capital market," necessitating innovative regulatory responses to keep pace with this change.

Brazil's tokenized asset market has experienced notable growth recently. Data from the RWA Monitor platform indicates that the country's real-world asset market has reached approximately 12 billion Brazilian reais, equivalent to about $2.34 billion. Debentures and commercial notes account for approximately $1.3 billion of this total. The CVM had previously tested blockchain-based issuance and secondary trading through its regulatory sandbox programs. The new working group will evaluate the results of these experiments as it considers a broader framework for securities issued, held, and traded on distributed ledgers.

Distributed Ledger Technologies have the potential to combine functions traditionally separated among exchanges, custodians, registrars, depositories, and settlement systems. This raises crucial questions regarding who controls official ownership records, how private keys are held, when transactions can be reversed, and who is liable in the event of system failures. Brazil's proactive stance on this matter reflects an effort to find solutions to the complex legal and operational challenges encountered in integrating digital assets into the mainstream financial system.

Market analysts suggest that these steps by the CVM will provide a clearer roadmap for securities tokenization in Brazil, potentially increasing institutional investor participation. Enhanced regulatory clarity can reduce legal uncertainty and operational risks for tokenization platforms, thereby supporting growth in this sector. Brazil's pioneering role in this area could set a precedent for other countries and contribute to the global development of digital asset regulations. The initial draft proposal, expected within the next 60 days, will be a critical juncture closely watched by markets.
