Biopharmaceutical giant Vertex Pharmaceuticals (VRTX) has announced its acquisition of Crinetics Pharmaceuticals (CRNX), a specialist in endocrine diseases, for approximately $10 billion in cash. This marks Vertex's largest acquisition to date, underscoring its strategy to significantly bolster its rare disease treatment portfolio. Under the terms of the agreement, Vertex will pay $85 in cash for each outstanding share of Crinetics, representing a premium of approximately 102% over Crinetics' closing stock price. Palsonify, developed by Crinetics, is notable as the first and only once-daily oral therapy for adults with acromegaly, having received U.S. Food and Drug Administration (FDA) approval in September 2025. The drug's first-quarter sales reached $10.7 million, surpassing analyst expectations. The other key asset, atumelnant, is in Phase 3 development for congenital adrenal hyperplasia (CAH) and has also demonstrated therapeutic potential in Cushing's syndrome.

Vertex management anticipates that Palsonify and atumelnant combined could achieve annual peak sales exceeding $5 billion. This acquisition supports Vertex's goal of expanding beyond its strong cystic fibrosis franchise to establish a new growth pillar in the endocrinology and rare diseases market. The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions, including regulatory approvals and approval by Crinetics shareholders.

This acquisition represents the fourth major biopharma merger and acquisition deal of $10 billion or more in 2026. Across the industry, increasing interest and scientific advancements in autoimmune and endocrine disease therapies are encouraging major pharmaceutical companies and biotech startups to invest in this sector.
