Altun Gıda, in partnership with GMS Yatırım Holding and Ümit Gümüş, has completed the first phase of its investment in Seğmen Kardeşler Gıda Üretim ve Ambalaj Sanayi A.Ş. following approval from the Turkish Competition Authority (Rekabet Kurumu). This development is seen as a significant step in Altun Gıda's integrated growth strategy within the food sector.

The Competition Authority approved the transfer of 74.85% of Seğmen Kardeşler Gıda's shares. This share transfer, valued at approximately 82.5 million USD, constitutes the first part of a two-stage process. In the initial phase, effective June 30, 2026, Altun Gıda A.Ş. acquired 51.006% of the company's voting rights through 30,000,000 TL nominal A group and 14,750,000 TL nominal B group shares, while GMS Yatırım Holding A.Ş. acquired 20.05% of voting rights. Together, they secured 71.056% of voting rights and management control. The second phase involves GMS Yatırım Holding and Ümit Gümüş acquiring the remaining shares. The preliminary protocol underpinning the agreement was signed on February 2, 2026, and the share transfer agreement was concluded on May 11, 2026.

Altun Gıda, which operates in fresh fruit and vegetable production, export, and logistics, aims to diversify its product portfolio into packaged food categories with this investment. Seğmen Kardeşler Gıda's strong position in the jam category and its broad product range, including healthy snacks, spices, frozen fruits, and dragees with high growth potential, will add significant diversity to Altun Gıda's portfolio. This merger combines Seğmen Kardeşler Gıda's brand power with Altun Gıda's international supply and export infrastructure, offering opportunities for scalable growth and a wider distribution network in various markets.
